PromptAIGrid Terms of Use

1. Nature of the Service

1.1 promptaigrid.com provides tools that allow Users to generate text prompts and AI-generated images based on inputs provided by the User or selected through the platform.

1.2 The Service uses artificial intelligence models (including third-party AI models/APIs) to generate outputs. Outputs are generated automatically based on algorithms and may be unpredictable, inaccurate, offensive, or unsuitable for certain purposes.

1.3 We do not manually review, curate, or pre-approve every prompt or image generated through the Service before it is delivered to the User.

2. User Responsibility for Content

2.1 You are solely and entirely responsible for:

a. The prompts, text, and instructions you input into the Service;

b. The images, outputs, or content generated as a result of your prompts or use of the Service;

c. How you use, publish, distribute, sell, or otherwise deal with any generated content; and

d. Ensuring that your use of the Service and any generated content complies with applicable laws, including but not limited to intellectual property law, privacy law, and criminal law.

2.2 You must not use the Service to generate, request, upload, or distribute content that:

a. Depicts, impersonates, or is based on any real, identifiable person without that person's explicit consent (including public figures, celebrities, or private individuals);

b. Is sexually explicit, exploitative of minors, or otherwise unlawful under Indian law, including the Information Technology Act, 2000 and the POCSO Act, 2012;

c. Infringes any third party's copyright, trademark, publicity rights, or other intellectual property or proprietary rights;

d. Is defamatory, harassing, hateful, discriminatory, or promotes violence;

e. Violates any applicable local, state, national, or international law or regulation.

2.3 We reserve the right (but are not obligated) to suspend, restrict, or terminate your access to the Service, without notice, if we believe you have violated this Section 2.

3. No Responsibility for Generated Content / Disclaimer of Liability

3.1 The Company does not own, endorse, verify, or take responsibility for any prompt or image generated by Users through the Service.

3.2 All content generated using the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of accuracy, originality, non-infringement, fitness for a particular purpose, or merchantability.

3.3 To the maximum extent permitted under applicable law, promptaigrid.com and its owners, directors, employees, and affiliates shall not be liable for:

a. Any copyright, trademark, or intellectual property infringement arising from content generated by a User;

b. Any unauthorized or unlawful depiction of any person's likeness generated by a User;

c. Any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to a User's use, publication, or distribution of generated content;

d. Any claim, dispute, or legal action initiated by a third party in connection with content generated by a User.

3.4 Any legal responsibility, liability, claim, or consequence – civil or criminal – arising from the generation, use, publication, or distribution of any prompt or image through the Service shall rest solely with the User who generated or used such content, and not with promptaigrid.com.

4. Intellectual Property

4.1 You retain such rights as you may have in the prompts you submit, subject to the license granted below.

4.2 By using the Service, you grant the Company a non-exclusive, worldwide, royalty-free license to process your prompts and inputs solely for the purpose of operating, maintaining, and improving the Service (including via third-party AI providers used to generate outputs).

4.3 We make no representation as to the ownership or copyright status of AI-generated outputs. AI-generated content may not be eligible for copyright protection in some jurisdictions, and originality or exclusivity of outputs is not guaranteed. It is your responsibility to determine the legal status of any content you generate before relying on, publishing, or commercializing it.

4.4 All trademarks, logos, branding, and platform design of promptaigrid.com remain the exclusive property of the Company.

5. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its owners, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service;

• Any content, prompt, or image you generate, publish, or distribute;

• Your violation of these Terms or any applicable law; or

• Your infringement of any third party's rights, including intellectual property or personality/publicity rights.

6. Account Registration

6.1 Users may be required to register an account with promptaigrid.com to access certain features of the Service.

6.2 You agree to provide accurate, current, and complete information during registration and to keep such information updated.

6.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

6.4 The Company reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or are used for unlawful purposes.

7. Data Protection & Privacy

This Section is included to align our data practices with the Digital Personal Data Protection Act, 2023 (“DPDP Act”) and applicable rules made thereunder.

8. Third-Party AI Providers

The Service may route prompts through third-party AI/image-generation providers to produce outputs. We are not responsible for the internal policies, outages, errors, or content moderation practices of such third-party providers, though we will make reasonable efforts to ensure they meet applicable legal standards.

9. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, with or without notice, for conduct that violates these Terms or is otherwise harmful to the Company, other Users, or third parties.

10. Limitation of Liability

To the fullest extent permitted by law, in no event shall the Company's aggregate liability arising out of or related to these Terms or the Service exceed the amount, if any, paid by you to the Company in the three (3) months preceding the claim.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Ahmedabad, Gujarat, India.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
